LEGAL

GENERAL TERMS AND CONDITIONS

These General Terms and Conditions apply to business relationships between INSIRIMA GmbH and business customers. In addition, the special terms and conditions set out at the end of this page apply to seminar, education and training services.

1. GENERAL PROVISIONS / SCOPE OF APPLICATION

1.1 These General Terms and Conditions (hereinafter the “GTC”) shall apply exclusively to all legal transactions between INSIRIMA GmbH (hereinafter “INSIRIMA”) and the client (hereinafter the “Client”). The version in force at the time the contract is concluded shall apply. These GTC apply exclusively to contracts entered into with businesses (B2B) and expressly do not apply to business relationships with consumers.

1.2 These GTC shall also apply to all future contractual relationships, including where no express reference is made to them in connection with additional contracts.

1.3 Any conflicting general terms and conditions of the Client shall be invalid unless expressly accepted by INSIRIMA in writing.

1.4 In the event of any conflict, where there is doubt as to which provision applies, the provision most favourable to INSIRIMA shall apply.

1.5 The Client undertakes to ensure that these GTC are also complied with by any other participants for whom the Client is responsible in connection with the commissioned service, education or training event, or research project. In general, the Client warrants compliance with these GTC by all participants for whom the Client is responsible.

1.6 If any provision of these GTC is or becomes invalid, this shall not affect the validity of the remaining provisions or of any contracts concluded on the basis of these GTC. The invalid provision shall be replaced by a valid provision that comes as close as possible to the meaning and economic purpose of the invalid provision.

2. SCOPE OF THE CONSULTING ENGAGEMENT / REPRESENTATION

2.1 The scope of a specific consulting engagement shall be agreed on a case-by-case basis in the relevant service agreement. Any request by the Client that goes beyond the scope defined in the service agreement at the time the contract is concluded shall be subject to a new service agreement.

2.2 INSIRIMA shall be entitled to have the tasks incumbent upon it performed, in whole or in part, by third parties. Such third parties shall be paid exclusively by INSIRIMA. No direct contractual relationship shall arise between the third party and the Client.

2.3 The Client undertakes, for the duration of the contractual relationship and for a period of 24 months following its termination, not to directly engage, in circumvention of INSIRIMA, any experts, cooperation partners or partner companies introduced to the Client by INSIRIMA in the course of the collaboration or engaged by INSIRIMA in the provision of the services, where the services concerned form part of the relevant project or are directly comparable to those services.

3. CLIENT’S DUTY TO PROVIDE INFORMATION / DECLARATION OF COMPLETENESS

3.1 The Client shall ensure that the organisational arrangements for the performance of the engagement enable INSIRIMA to carry out its work with as little disruption as possible and in a manner conducive to the efficient progress of the project.

3.2 The Client shall provide INSIRIMA with comprehensive information on any consulting engagements, assessments or projects already carried out or currently under way, including in other specialist areas, insofar as they may be relevant to the performance of the engagement.

3.3 The Client shall, without the need for a separate request, provide INSIRIMA with all documents and information required for the proper performance and completion of the engagement, in full and in a timely manner. This shall also include any events and circumstances relevant to the performance of the engagement that become known only after INSIRIMA has commenced its work.

3.4 The Client shall ensure that affected employees and any employee representative body, where applicable, are informed in good time about INSIRIMA’s activities insofar as this is necessary for the performance of the engagement.

4. SAFEGUARDING INDEPENDENCE

4.1 The contracting parties undertake to act loyally towards one another and to conduct their cooperation fairly and in a spirit of mutual trust.

4.2 The contracting parties undertake to take all appropriate measures to safeguard the independence of INSIRIMA’s employees, experts and commissioned third parties. This applies in particular to any offer by the Client of direct employment or of a direct engagement to provide services for the Client’s own account.

5. REPORTING / REPORTING OBLIGATIONS

5.1 INSIRIMA shall keep the Client informed, in accordance with the progress of the project, of the services performed. This shall also include services provided by INSIRIMA’s employees, experts and commissioned third parties insofar as they are relevant to the respective engagement.

5.2 Where a final report forms part of the agreed scope of services, it shall be provided to the Client within a reasonable period following completion of the engagement. Depending on the nature and scope of the engagement, this period will generally be between two and four weeks.

5.3 INSIRIMA shall perform the agreed services independently, on its own responsibility and with professional autonomy. Unless otherwise agreed in the relevant engagement, INSIRIMA shall not be bound to any particular place of work or specific working hours.

6. PROTECTION OF INTELLECTUAL PROPERTY

6.1 All rights in the documents and works created by INSIRIMA, its employees, experts or commissioned third parties in the course of providing the services, including in particular proposals, reports, texts, document templates, graphics, analyses, expert opinions, organisational plans, programmes, service descriptions, drafts, calculations, drawings, course materials, education, teaching, seminar and training materials, e-learning content, education concepts and programmes, audio-visual materials, printed materials and learning materials, shall remain with INSIRIMA or the respective rights holders, unless expressly agreed otherwise.

6.2 The Client shall be granted the right to use such documents and materials exclusively for the purposes agreed in the relevant contract. Any reproduction, modification, publication, disclosure to third parties or other use beyond those purposes shall require INSIRIMA’s prior written consent.

6.3 Any unauthorised reproduction, disclosure or other use shall not give rise to any liability on the part of INSIRIMA towards third parties, in particular with regard to the accuracy or suitability of the content where it is used for purposes other than those originally agreed under the contract.

6.4 Any breach of these provisions shall entitle INSIRIMA to pursue all remedies available under applicable law, including in particular injunctive relief and damages. In the event of a material breach, INSIRIMA shall also be entitled to terminate the contractual relationship with immediate effect for good cause.

7. COMMUNICATION AND EXCHANGE OF INFORMATION

7.1 Project-related information, data and documents shall, as a general rule, be exchanged between INSIRIMA and the Client via the company cloud or secure project platform provided by INSIRIMA for this purpose. The Client undertakes to provide the data and documents required for the performance of the engagement through this communication channel.

The use of the platform provided by INSIRIMA serves, in particular, to protect confidential information and to ensure information security and data protection.

If the Client expressly requests that project-related information be transmitted or made available via another communication channel, this may be agreed separately. To the extent permitted by law, INSIRIMA shall not be liable for any loss, damage or security compromise arising exclusively from the use of a communication or transmission channel requested by the Client that is outside INSIRIMA’s control.

7.2The company cloud or project platform provided by INSIRIMA is intended for the secure exchange of project-related data and documents and does not constitute a permanent shared archive or backup system for the Client.

The Client is responsible for ensuring that any data and documents it requires for long-term retention are transferred to and stored in its own systems in good time. To the extent permitted by law and unless expressly agreed otherwise, INSIRIMA assumes no obligation to retain permanently or continue to make available any data exchanged via the platform after completion of the relevant engagement.

7.3 The Client shall ensure that any files it provides or uploads are free from malware, computer viruses or other harmful or security-compromising components and have been checked prior to transmission using appropriate technical security measures. Where there are reasonable grounds to suspect that data or files provided by the Client may compromise the security or proper functioning of INSIRIMA’s systems or those of third parties, INSIRIMA shall be entitled to block the upload of, access to or further processing of such data.

If the Client culpably breaches these obligations, INSIRIMA shall be entitled to suspend performance of the services until the security risk has been remedied. Any further rights of INSIRIMA, including claims for damages and the right to terminate the contractual relationship for good cause in the event of a serious breach, shall remain unaffected.

7.4 INSIRIMA and the Client undertake to inform each other without undue delay of any cyberattacks, security incidents or other impairments affecting their IT systems that become known to them, where it cannot be excluded that project-related data, confidential information or data belonging to the other contracting party may be affected.

To the extent known at the relevant time, such notification shall include, in particular, the nature and extent of the incident, the data potentially affected, and any measures already taken or planned to mitigate its possible effects. Any statutory notification, information and documentation obligations of the respective contracting party, in particular under applicable data protection law, shall remain unaffected.

If the Client culpably breaches this contractual notification obligation and INSIRIMA suffers loss or damage as a result, any claims for damages by INSIRIMA shall remain unaffected.

7.5 Upon completion of the relevant project, INSIRIMA shall be entitled to terminate the Client’s access to the company cloud or project platform and to remove data made available there for project-related data exchange in accordance with applicable statutory retention obligations and INSIRIMA’s internal deletion periods.

The Client is responsible for transferring any data and documents it wishes to retain to its own systems in good time before access is terminated.

INSIRIMA shall also be entitled to temporarily suspend access to the company cloud or project platform in the event of payment default or a material breach of the agreed terms of use or security requirements. The Client shall properly manage the storage space made available to it and ensure that sufficient storage capacity is available for project-related data exchange.

8. STATUTORY WARRANTY

8.1 INSIRIMA shall be entitled and obliged to remedy any defects or inaccuracies in its services in accordance with the applicable statutory warranty provisions. The Client shall notify INSIRIMA of any defects identified as promptly as reasonably possible and shall afford INSIRIMA a reasonable opportunity to remedy such defects.

8.2 To the extent permitted by law, the warranty period shall be six months from the date on which the respective service is performed.

8.3 Warranty shall be excluded to the extent that a defect results from incorrect, incomplete or late information provided by the Client, from subsequent modifications made by the Client or third parties, or from use of the service for a purpose other than the agreed purpose.

9. LIABILITY / CLAIMS FOR DAMAGES

9.1 INSIRIMA shall be liable for the proper performance of the agreed services. Where the services consist solely of consultancy services, INSIRIMA shall also identify the key factors to be taken into account when implementing its recommendations. The Client shall be informed of the available courses of action together with the principal conditions and consequences associated with them.

9.2 Consultancy services can only be provided on the basis of the information supplied by the Client. INSIRIMA shall not be liable for consultancy results that are incorrect, incomplete or otherwise defective as a result of information supplied by the Client being incorrect, withheld or not provided. This exclusion of liability applies in particular to any criminal, civil, administrative or financial consequences arising from the implementation of consultancy results.

9.3 Consultancy provides important support but does not replace the Client’s own decision-making and actions. Unless expressly agreed otherwise, responsibility for implementation following completion of a project or consultancy meeting shall rest with the Client. Any decisions and instructions required for such implementation shall be made within the Client’s own sphere of responsibility. INSIRIMA shall not be liable for the consequences of any acts or omissions of the Client.

9.4 INSIRIMA shall not be liable for the complete performance of the contract where the contract is terminated prematurely for any of the reasons set out in Section 13, “Termination of the Contract”.

9.5 INSIRIMA shall be liable to the Client for loss or damage, with the exception of personal injury, only in cases of serious fault, namely intent or gross negligence. The same shall apply, mutatis mutandis, to loss or damage attributable to third parties engaged by INSIRIMA.

9.6 Claims for damages by the Client may only be brought before a court within six months from the date on which the Client became aware of both the damage and the party responsible for it, and in any event no later than three years after the event giving rise to the claim.

9.7 The Client shall bear the burden of proving that the loss or damage was caused by fault on the part of INSIRIMA.

9.8 INSIRIMA shall be liable in respect of third parties engaged, with the Client’s knowledge, to perform individual parts of the services only where INSIRIMA was at fault in selecting such third parties. Where INSIRIMA performs the agreed services with the assistance of third parties and warranty and/or liability claims arise against such third parties in this connection, INSIRIMA shall assign those claims to the Client. In such cases, the Client shall pursue its claims against the relevant third parties.

9.9 INSIRIMA shall be liable exclusively to the Client and not to third parties. The Client shall expressly inform any third party who, through the Client’s involvement, comes into contact with or is granted access to INSIRIMA’s services of this limitation.

9.10 INSIRIMA shall not reimburse the Client for any expenses, loss or damage arising from an objectively justified cancellation or postponement of a service, including in particular travel, accommodation or comparable costs.

9.11 The Client shall not be entitled to set off any claims against claims held by INSIRIMA. This prohibition on set-off shall also apply to counterclaims arising from the same legal relationship.

10. CONFIDENTIALITY / DATA PROTECTION

10.1 INSIRIMA undertakes to maintain strict confidentiality with regard to all business matters of which it becomes aware in the course of the cooperation, including in particular trade and business secrets and any information concerning the nature, scope of operations and business activities of the Client.

10.2 INSIRIMA further undertakes to maintain confidentiality towards third parties with regard to the entire content of the services provided and to all information and circumstances of which it becomes aware in connection with the provision of the services. This shall apply in particular to personal data relating to customers, employees or other persons attributable to the Client.

10.3 INSIRIMA shall be released from its duty of confidentiality vis-à-vis employees, experts, cooperation partners and other third parties engaged in the provision of the services to the extent that their involvement is necessary for the performance of the engagement. INSIRIMA shall require such persons to observe confidentiality to the corresponding extent.

10.4 The duty of confidentiality shall continue without limitation in time after termination of the contractual relationship. This shall not apply where INSIRIMA is required to disclose information pursuant to applicable law or by order of a competent authority or court.

10.5 INSIRIMA shall be entitled to collect, process and store personal data for the purposes of the contractual relationship insofar as this is necessary for the provision of the agreed services and permitted under applicable data protection law. The Client warrants that any personal data provided to INSIRIMA are transferred and processed lawfully and that all applicable data protection requirements have been met.

10.6 The Client undertakes to treat all consultancy, project and other documents prepared by INSIRIMA as confidential and to disclose them internally only to persons directly involved in the relevant project or its implementation. Any disclosure to external parties or other use of project documents prepared by INSIRIMA, including extracts thereof, shall require INSIRIMA’s prior written consent, unless expressly agreed otherwise in the relevant contract.

10.7 INSIRIMA shall be entitled to publish parts of the results of a project, provided that neither the identity of the Client is disclosed nor any trade or business secrets or other confidential information are revealed. As a general rule, INSIRIMA shall inform the Client in advance and coordinate the proposed publication with the Client.

11. FEES

11.1 Upon completion of the agreed service or work, the Client shall receive an invoice in accordance with the agreement between the Client and INSIRIMA. INSIRIMA shall be entitled to issue interim invoices in line with the progress of the work and to require corresponding payments on account. Unless a different payment term has been agreed, the respective fee shall fall due on the date the invoice is issued by INSIRIMA.

11.2 INSIRIMA shall issue an invoice containing all particulars required by law and entitling the Client to deduct input VAT.

11.3 Any out-of-pocket expenses, disbursements, travel, accommodation and subsistence costs, as well as any other expenses incurred in connection with the provision of the services, shall be reimbursed by the Client in addition to the agreed fees upon invoicing by INSIRIMA.

11.4 If the agreed services are not performed for reasons attributable to the Client, or as a result of INSIRIMA being entitled to terminate the contractual relationship prematurely, INSIRIMA shall retain its entitlement to payment of the full agreed fee, less any expenses saved as a result. Where an hourly fee has been agreed, the fee shall be payable for the number of hours that would reasonably have been required to perform the entire agreed service, less any expenses saved. The expenses saved shall be deemed, on a lump-sum basis, to amount to 20 per cent of the fee attributable to those services that INSIRIMA had not yet performed by the date of termination of the contractual relationship.

11.5 In the event of non-payment of interim invoices, INSIRIMA shall be released from its obligation to provide any further services. Any further claims arising from such non-payment shall remain unaffected. Incomplete payments or payments not made by the due date shall entitle INSIRIMA to withdraw from the contracts entered into with the Client.

11.6 The Client acknowledges that any estimate provided by INSIRIMA as to the anticipated amount of the fees, unless expressly stated to be binding, is non-binding and shall not be regarded as a binding cost estimate.

11.7 An invoice submitted to the Client and properly itemised shall be deemed approved and accepted unless and to the extent that the Client raises a written objection within four weeks of receipt of the invoice. The relevant date shall be the date on which INSIRIMA receives the objection.

12. ELECTRONIC INVOICING

12.1 INSIRIMA shall be entitled to send invoices to the Client in electronic form. The Client expressly agrees to receive invoices from INSIRIMA electronically.

13. TERMINATION OF THE CONTRACT

13.1 As a general rule, the contract shall end upon completion of the relevant project and the corresponding invoicing, or upon expiry of the contractually agreed term, for example in the case of longer-term projects or several ongoing projects.

13.2 Notwithstanding the foregoing, either contracting party may terminate the contract at any time for good cause with immediate effect and without notice. Good cause shall include, in particular:

- a material breach of contractual obligations by either contracting party;

- a contracting party being in default of its performance obligations after insolvency proceedings have been opened in  respect of that party;

- justified concerns regarding the creditworthiness of a contracting party in respect of which no insolvency proceedings have been opened, where, at INSIRIMA’s request, that party neither makes an advance payment nor provides adequate security prior to the provision of the services, provided that INSIRIMA was not aware of that party’s adverse financial circumstances at the time the contract was concluded.

13.3 If the Client withdraws from the contract or terminates the engagement for a reason attributable to the Client, including for good cause, or if INSIRIMA terminates the engagement for good cause attributable to the Client, the Client shall nevertheless remain liable to pay the full agreed remuneration. The obligation to credit amounts pursuant to Section 1168(1) of the Austrian Civil Code (ABGB) shall not apply. Any claim for damages exceeding that amount shall remain unaffected.

14. FINAL PROVISIONS

14.1 The contracting parties shall provide all information required for the initiation, performance and completion of the relevant engagement fully and accurately. Any changes in circumstances material to the contractual relationship shall be notified to the other contracting party without undue delay.

14.2 Any amendments or additions to the contract, as well as any declarations having legal effect in connection with the contractual relationship, shall be made at least in text form. Email shall be sufficient unless a stricter form has been expressly agreed in the individual case or is required by law. Any individual agreements contained in the relevant proposal or engagement shall take precedence over these GTC.

14.3 All contractual relationships between INSIRIMA and the Client shall be governed exclusively by the substantive law of Austria, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Unless the nature of the agreed services requires performance at another location, the place of performance shall be the registered office of INSIRIMA GmbH. To the extent permitted by law, the court having subject-matter jurisdiction for the registered office of INSIRIMA GmbH shall have exclusive jurisdiction over all disputes arising out of or in connection with the contractual relationship.

14.4 In the event of any disagreement or dispute arising out of or in connection with the contractual relationship, the contracting parties shall first seek to reach an amicable resolution.

If no agreement can be reached within a reasonable period, the contracting parties undertake, before commencing court proceedings, to consider whether the dispute can be resolved through mediation conducted by a mediator entered on the list maintained by the Austrian Federal Ministry of Justice and specialising in commercial mediation.

If, within 14 calendar days of a written request by either contracting party, no agreement is reached on whether to proceed with mediation or on the appointment of the mediator, or if mediation that has commenced is declared terminated by either contracting party or by the mediator, either party shall be free to commence court proceedings.

14.5 The right of either contracting party to initiate judicial or administrative proceedings in order to preserve time limits, secure claims or address other urgent matters shall remain unaffected by the out-of-court dispute resolution procedure provided for in Section 14.4.

14.6 Unless otherwise agreed in the individual case, the costs of any mediation jointly agreed by the contracting parties shall be borne by them in equal shares. Each contracting party shall bear the costs of its own legal advice. Any claim for costs in subsequent court proceedings shall be governed by the applicable statutory provisions.
